POSITION SUMMARY: Our client seeks a Vice President, Mergers & Acquisitions to direct the company's merger, acquisition, divestiture and joint venture activities. In this newly established role, the successful candidate will provide leadership in the organization's long-range strategic planning to ensure growth through appropriate mergers, acquisitions and divestitures. As a key member of the executive leadership team, the Vice President, Mergers and Acquisitions will be charged to advance Daikin's "Fusion 20" Corporate Strategic Plan, which focuses to "Enhance Existing Businesses and Expand New Business Domains." While the company has achieved significant acquisitive growth having targeted independent distributors and regional service companies, the successful candidate will diversify the focus to incorporate new products as well as manufacturing technologies and footprint. Page 2 of 3 The successful candidate will have a proven track record in mergers and acquisitions, acting as a skilled negotiator who finds common ground creating mutually beneficial outcomes for all stakeholders. This individual will be a highly respected and visible leader with the maturity, executive presence, business acumen and track record to be instantly credible within the HVAC ecosystem. PRIMARY ACCOUNTABILITIES AND RESPONSIBILITIES: * Review analysis of mergers, acquisitions or divestitures and interprets financial models, estimating revenue growth, profitability and impact on the organization's strategic business plans. * Ensure and drive consistent alignment of departmental strategy or direction with the overall goals of the organization. * Coordinate diligence efforts between multiple functional teams, such as Finance, Legal, Human Resources, Sales and Operations, to ensure a comprehensive understanding of the business, risks, opportunities and deal structures. * Conduct due diligence to understand the target company's business and legal practices, liabilities, financial standing and intellectual property. * Direct team in the identification, discussion and investigative efforts to evaluate potential acquisition, mergers or divestitures. Works well in group problem solving situations; uses reason even when dealing with emotional topics. * Project Management - Manages merger and acquisition team activities while managing external teams' involvement to ensure project completion. * Verbal Communication - S eaks clearly and persuasively in positive or negative situations; responds well to questions; makes recommendations on deals that best support the organization's goals. Clearly communicates new policies, practices or procedures to organization. * Written Communication - Writes clearly and informatively; develops and negotiates transactions and contracts clearly in written and verbal forms. * Strategic Thinking - Develops strategies to achieve organizational goals; understands organization's strengths and weaknesses; analyzes market and competition; identifies areas of opportunity and potential for improvement; drives initiatives to address identified areas. Page 3 of 3 * Relationship Management - Maintains strong professional relationships both within and outside of the organization; capitalizes on relationships to drive organization's strategic direction; builds collaborative relationships with functional teams to ensure seamless mergers, acquisitions or divestiture efforts. EDUCATION & EXPERIENCE: * Bachelor's degree required; a master's degree is preferred. * 12+ years' experience in in financial analysis or mergers and acquisitions in the HVAC or related industry required.
